1. Who We Are

PayReady is operated by Headfizz Limited, trading as PayReady, a company registered in Ireland. Registered address: Church View, Baurmahulla, Drimoleague, Cork, P47 VK65, Ireland. Contact us at hello@payready.app.

2. What These Terms Cover

By signing up and using PayReady (the website at payready.app, the web app, and any mobile apps), you agree to these Terms of Service. If you do not agree, do not use the service.

3. The Service

PayReady is a subscription-based SaaS app for self-employed tradesmen and small businesses. It helps you create AI-generated quotes and invoices, manage jobs, and communicate with clients.

The AI-generated content (quotes, messages, documents) is produced as a starting point for your use. You are responsible for reviewing and approving any content before sending it to clients. PayReady does not guarantee the accuracy or suitability of AI-generated content for any specific job or client.

4. Your Account

You must provide accurate information when signing up. You are responsible for keeping your login details secure. You must be at least 18 years old to use PayReady. One account per person - you may not transfer or sell your account.

5. Subscription and Payment

PayReady is currently in Early Access. During Early Access, PayReady is completely free to use - no credit card required, no time limit, and no feature restrictions. Founding Users (anyone who joins during Early Access) will have a discounted "founding rate" locked in for life once paid plans launch, ahead of the standard rate everyone joining later will pay.

When paid plans launch, PayReady will offer a free tier with limited features and a Pro plan starting at €29/month (or the equivalent in GBP), with a lower locked-for-life rate for Founding Users. We will email Early Access users in advance of paid plans launching, with clear notice before any payment is required. Subscriptions will renew monthly (or annually, for the discounted annual rate). We accept Visa, Mastercard, and American Express via Stripe. All payments are processed securely by Stripe - we do not store your card details. We do not offer refunds on monthly subscription fees once a payment has been processed.

6. Cancellation

You can cancel your subscription at any time by contacting us at hello@payready.app. Cancellation takes effect at the end of your current billing period. You will retain access to Pro features until that date.

7. Your Content

You own everything you create using PayReady - your quotes, invoices, client details, and business data. By using the service, you give us permission to store and process your data to provide the service. We do not sell your data to third parties. See our Privacy Policy for full details.

8. What You Must Not Do

You must not use PayReady to:

• Break any law or regulation
• Impersonate another person or business
• Upload malicious code or attempt to hack the platform
• Sell or transfer your account to someone else
• Use the platform to advertise or solicit business outside of its intended purpose
• Attempt to reverse engineer or copy the software

9. AI-Generated Content

PayReady uses Claude (by Anthropic) to generate quotes, invoices, and messages. This content is AI-generated and should be treated as a draft. You are responsible for reviewing all AI-generated content before sending it to clients. Headfizz Limited accepts no liability for losses arising from errors in AI-generated content.

10. Uptime and Availability

We aim to keep PayReady available at all times but cannot guarantee uninterrupted service. We may carry out maintenance, updates, or experience technical issues. We will try to notify you of planned downtime in advance.

11. Our Liability

To the fullest extent permitted by Irish law, Headfizz Limited's total liability to you for any claim arising from your use of PayReady is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect losses, lost profits, or losses arising from AI-generated content you chose to send to clients. Any claim must be brought within 12 months of the issue occurring.

12. Intellectual Property

PayReady, its design, code, and branding are owned by Headfizz Limited. You may not copy, reproduce, or distribute any part of the platform without our written permission.

13. Third-Party Links

PayReady may link to third-party websites (such as WhatsApp or Stripe). We are not responsible for the content or practices of those sites.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you by email from hello@payready.app before changes take effect. Continued use of PayReady after that date means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of Ireland. Any disputes will first be addressed through informal negotiation. If unresolved after 30 days, disputes will proceed to arbitration in Cork, Ireland, conducted in English.
